Comdial Corporation has substantial experience in the telecommunications industry. The Company develops and markets sophisticated communications solutions for small to mid-sized businesses, government, and other organizations. Comdial offers a broad range of solutions to enhance the productivity of businesses, including voice switching systems, voice over IP (VoIP) solutions, voice processing solutions, and computer telephony integration solutions. Comdial currently has an installed base of approximately 350,000 telephone systems and 3.7 million telephones.

Comdial's corporate headquarters relocated to Sarasota, Florida during 1Q2001 and has over 65,000 square feet in office space. In addition, the Company leases 100,000 square feet of space in Charlottesville, Virginia for business phone system research and development, technical support, product management and some production and assembly.

Subsidiary

Key Voice Technologies develops, markets, sells and supports its own brand of voice messaging, auto attendant, fax processing, and unified messaging products. KVT products are unique because they are hardware independent and interoperable with the majority of telecom platforms available today. KVT sells both through Comdial's dealer channel as well as selling directly. Key Voice Technologies is a wholly owned subsidiary of Comdial Corporation.

Distribution

Comdial markets products through both direct and indirect channels. Indirect channels include both two-tiered and three-tiered distribution. The Company's primary distribution is through wholesale supply houses, which in turn, resell to hundreds of independent Comdial dealers.
